商務(wù)合同因涉及到雙方權(quán)利和義務(wù)的界定、實施和履行，因此其英語用詞具有正式、準確的特點。
May用在商務(wù)合同中時，旨在約定當事人的權(quán)利（即“可以做什么”），shall則主要約定當事人的義務(wù)（即“應(yīng)該做什么”），而must則具有強制性，指必須做什么。May not/shall not用于禁止性義務(wù)，即不應(yīng)該做什么。May do不等同于can do / shall do，should do/ought to do。而may not do 在美國一些法律文件可以用shall not，但絕不能用can not do或must not
Any change to this Agreement must be in writing, signed by both parties.
