商务合同因涉及到双方权利和义务的界定、实施和履行，因此其英语用词具有正式、准确的特点。
May用在商务合同中时，旨在约定当事人的权利（即“可以做什么”），shall则主要约定当事人的义务（即“应该做什么”），而must则具有强制性，指必须做什么。May not/shall not用于禁止性义务，即不应该做什么。May do不等同于can do / shall do，should do/ought to do。而may not do 在美国一些法律文件可以用shall not，但绝不能用can not do或must not
